Terms of Service

1. Eligibility

You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. By using the Platform you represent that you meet these requirements and that all information you provide is accurate and current. You are responsible for ensuring that your use of the Platform is lawful in your jurisdiction.

2. Nature of the Service

Bheem.Trade is a technology platform. It provides tools for charting, market analysis, strategy building, automation workflows, paper trading, backtesting, and AI-assisted research. The Platform connects to third-party broker accounts that you control in order to display data and, where you explicitly enable it, place orders on your instruction.

Bheem.Trade is not a stockbroker, an exchange, a depository participant, a portfolio manager, or a SEBI-registered investment adviser. We do not provide investment, legal, tax, or financial advice, and nothing on the Platform constitutes a recommendation, solicitation, or offer to buy or sell any security, derivative, or crypto asset. 3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at [support email] of any unauthorized use. We may suspend or terminate accounts that we reasonably believe are being used in breach of these Terms or applicable law.

4. Broker Connections and Order Execution

To use trading features you may link one or more brokerage accounts via the broker's official APIs or OAuth flows. You authorize the Platform to access market data, account positions, and—only where you explicitly enable order placement—to transmit orders to your broker on your instruction.

All trades are executed by your broker, not by Bheem.Trade. Order routing, margin, settlement, and execution are subject to your broker's terms and the rules of the relevant exchange. We are not responsible for broker downtime, rejected orders, slippage, latency, data delays, or losses arising from execution. You are solely responsible for reviewing and confirming every order and for the consequences of any automated workflow or AI agent you choose to enable.

5. AI Agents, Automation, and Simulations

The Platform offers AI agents, automated workflows, strategy builders, paper trading, and backtesting. All such outputs are informational and probabilistic in nature, may contain errors, and must not be relied upon as advice. Paper trading and backtest results are simulations and do not reflect real market conditions, costs, or liquidity. Past or simulated performance is not indicative of future results. You decide whether to act on any output, and you bear full responsibility for those decisions.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in breach of exchange, SEBI, or other regulatory rules;
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Platform or its infrastructure;
• Resell, sublicense, or commercially redistribute the Platform or its data without our written consent;
• Upload malicious code or interfere with other users' access or the integrity of the service;
• Misrepresent your identity or use another person's broker credentials without authorization.

7. Fees and Subscriptions

Certain features may require a paid subscription. Applicable fees, billing cycles, and refund terms will be presented to you before purchase. We may change pricing with prior notice; changes do not affect the current paid period. Brokerage, statutory charges, taxes, and exchange fees are charged separately by your broker and are not collected by Bheem.Trade.

8. Intellectual Property

The Platform, including its software, design, content, and trademarks, is owned by Bheem.Trade or its licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. You retain ownership of the data and strategies you create, and you grant us a license to process that data solely to operate and improve the service.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. Market data may be delayed or inaccurate. We do not warrant that the Platform will be error-free or that any strategy, agent, or signal will be profitable.

10. Limitation of Liability

To the maximum extent permitted by law, Bheem.Trade and its officers, employees, and affiliates will not be liable for any trading losses, lost profits, or indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability for any claim relating to the Platform will not exceed the amount you paid us for the service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Bheem.Trade from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your trading decisions, or your breach of these Terms or applicable law.

12. Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Platform and its users. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform or by email. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes
